Mote Poh Company Limited
This agreement is made between Mote Poh Co., Ltd. “Mote Poh” and the any person or company making a purchase on the Mote Poh website “Client”.
1.1 The Client will subscribe to the Mote Poh employee benefits program as selected in the online order form.
1.2 The subscription will start at the beginning of the next calendar month after purchase.
1.3 The minimum number of employees is selected in the order form.
1.4 The Client may increase or decrease the Number of Employees from time to time by notifying Mote Poh no later than 15 days prior to the start of the relevant month, so long at the number of employees is no fewer than the number stated in order form.
2. Employee Benefits
2.1 Mote Poh provides employees access to the Mote Poh mobile applications (iOS and Android) each calendar month.
2.2. The Client may modify which employees have access to the Mote Poh mobile applications by notifying Mote Poh no later than 15 days prior to the start of the relevant month.
2.3 Employees with access to the Mote Poh mobile applications will be entitled to benefits at Mote Poh merchants as stated in the Mote Poh mobile applications, as updated from time to time. Employees may claim a benefit by delivering a valid benefit to the merchant. A valid benefit is any original benefit, claimed and redeemed according to standard procedures, before the expiration date, in compliance with any stated terms and conditions.
2.4 Employees may not sell or exchange benefits.
3. Support Services
3.1 Mote Poh will conduct employee surveys from time to time in order to learn about Employee preferences regarding Merchants and benefits. Mote Poh will use its best efforts to develop benefits in accordance with the results of Employee surveys.
3.2 Mote Poh will operate a Helpline (+95 9 456 334 541 and firstname.lastname@example.org) to assist clients, employees and merchants with questions or difficulties.
4. Price & Payment Schedule
4.1 The Client will pay Mote Poh as selected in the order form.
4.2 The price in Section 4.1 may be revised from time to time. It will be calculated by multiplying: the number of months in the subscription period; the price per employee per month; the number of employees per month.
4.3 The Client will pay Mote Poh the full amount for the each payment period no later than 15 days before the relevant period.
4.4 If the Client increases the number of employees in accordance with Section 1.4, the Client will pay the additional price no later than 15 days prior to the end of the relevant period.
4.4. Mote Poh will not provide any refund (in part or in whole) in the event the Client modifies or terminates this Agreement in accordance with Section 5.
5. Modification or Termination
5.1 This agreement will remain in force until terminated.
5.2 The Subscription stated in Section 1 will automatically renew for an additional subscription period on the same terms 30 days prior to the end of each period.
5.3 The Client may modify the Subscription stated in Section 1 by notifying Mote Poh at least 30 days prior to the start of the next period. Modifications will only apply to subsequent periods.
5.4 Either party may terminate this agreement for any reason by notifying the other party at least 30 days prior to the start of the next period. If notice is given more than 30 days prior to the start of the next period, then termination will take effect at the end of the current period. However, if termination is given 30 days or fewer prior to the start of the next period, then termination will take effect at the end of the next period.
5.5 Notification must be done in the Client Portal or by writing to email@example.com.
6. Employee Data
6.1 The Client will provide Mote Poh with the name and corresponding telephone number of employees who will have access to the Mote Poh mobile applications no later than 15 days prior to the start of the relevant month.
6.2 Mote Poh will use Employee Data (including employee name, Myanmar National Identification Number, email, telephone number, Facebook name, survey results, employment status, employment history) to provide the Employee Benefits Program stated in Sections 1 and 2, and continuously improve our Employee Benefits and Support Services.
6.3 Mote Poh will not sell, trade or otherwise divulge Employee Data.
7. Confidentiality & Non-Disclosure
7.1 Mote Poh and the Client guarantee to each other that neither they nor any of their employees, associates or contractors will disclose to any third party any information about the other party which may be reasonably construed as confidential or proprietary, or as set out in Sections 7.2-4. This Section will continue in force at all times during the execution of and after termination of this agreement.
7.2 Proprietary includes but is not limited to any physical and intellectual property of either organization.
7.3 Confidential Information means any information in any form emanating, directly or indirectly, from either party and designated as being confidential or which, under the circumstances surrounding disclosure, ought to be treated as confidential, including without limitation, information relating to: business plans, procedures or processes; descriptions of any product or service; marketing or promotion of any product or service; contractual offers; contracts signed; and information received from others parties that either party is obligated to treat as confidential.
8. Choice of Law and Forum
8.1 Any disputes arising out of or relating to this Agreement shall be determined according to the laws of the Republic of Singapore and shall be heard by a court of competent jurisdiction of the Republic of Singapore.
Mote Poh cares about your privacy and we will use due care to protect your personal information against unauthorised access and miss use.
“Personal Information” means any information which can identify you.
Mote Poh may collect your personal information directly or indirectly - when you interact with Mote Poh or from other sources.
Mote Poh may request your personal information during your course of dealings with Mote Poh and you have the right not to provide your personal information that Mote Poh requests. If it is so, Mote Poh may not be able to provide you the Platform and/or services or may not able to respond to your queries to the Mote Poh.
Mote Poh may also collect your personal information from a variety of sources when you are communicating or interacting with Mote Poh including online or offline, e.g. if you are accessing our social media pages, attending any meetings organised or sponsored by Mote Poh.
Using Your Information
Mote Poh may only use your personal information as follows:
a. to support your experiences to use the Platform;
b. to send you marketing and promotional information and materials.
c. to conducting Market Research;
d. to comply with the Laws and Regulations; or
e. to detect, investigate and prevent any kinds of fraudulent activity;
If there is any other things else we want to your personal information, we will seek your consent separately.
Managing Your Information
Mote Poh will exercise due care to ensure your personal information is stored securely to protect your personal from disclosure or misuse or unauthorised access.
Mote Poh cannot and does not accept responsibility for any unauthorised access, unlawful interceptions or loss of personal information.
Mote Poh may keep your personal information as long as we need.
